Cynthia Nastanski

Cynthia Nastanski is Senior Vice President, Corporate Law and Deputy Corporate Secretary at PepsiCo, Inc. Her responsibilities include advising PepsiCo’s Board of Directors with respect to corporate governance and disclosure matters. She also oversees all aspects of PepsiCo’s securities law compliance program and advises with respect to capital markets, finance and merger and acquisition transactions. Ms. Nastanski is the Secretary of PepsiCo’s Audit Committee and Disclosure Committee.

She is a founder of the UC Berkeley Sustainable Business and Investment Forum and a member of the New York Chapter Advisory Committee of the Society for Corporate Governance.

Prior to joining PepsiCo she was a Corporate Associate at Cravath, Swaine & Moore. Ms. Nastanski was named Governance Professional of the Year by Corporate Secretary Magazine in 2015. She received her A.B. in Economics from Harvard University and her J.D. from the University of California at Berkeley.
