Audry advises clients primarily in the context of mergers and acquisitions, divestitures, initial public offerings, restructurings, spinoffs, and other significant corporate transactions. She also routinely advises boards of directors, compensation committees, management, and executives on the design and legal analysis of compensation arrangements (including equity and non-equity incentive programs, non-qualified deferred compensation plans and retention, change in control, severance, and employment agreements); administrative and regulatory compliance with tax, employment, and securities laws; and corporate governance and disclosure obligations regarding employee benefits, executive compensation, and related matters.
