Claudia H. Allen is a corporate governance specialist with KPMG's Board Leadership Center. Prior to joining KPMG in May 2017, Clauida was partner and co-chair of the corporate governance practice at Katten Muchin Rosenman LLP. She counseled boards, management, and investors in public and private companies on corporate governance matters and related issues, such as shareholder activism and engagement, takeover preparedness, board/committee process and structure, and fiduciary duties. Her practice also encompassed transactional matters, including private and public mergers and acquisitions, and securities matters, including compliance with the Dodd-Frank and Sarbanes-Oxley Acts. She is a recognized writer, commentator, and speaker on governance and transactional issues.
