James D. Small III is counsel based in the New York office of Cleary Gottlieb.

Mr. Small's practice focuses on corporate and financial transactions, with a focus on U.S. securities law matters in U.S. and international capital markets transactions, mergers and acquisitions and general corporate transactions.  Mr. Small also advises on corporate governance matters. He has been recognized by The Legal 500 U.S. for his capital markets practice.

Mr. Small is a co-author of Fair Disclosure: What Issuers Can Learn from SEC Actions, International Financial Law Review (January 2003), SEC Adopts Amendments to Rules 144 and 145, The Review of Securities & Commodities Regulation (May 2008) and The Resurgence of U.S. At-the-Market Equity Offerings, Capital Markets Law Journal (July 2009).

Mr. Small joined the firm in 1996 and became counsel in 2008.  He has worked in the firm’s New York, London and Hong Kong offices.  Prior to the commencement of his legal career, from 1990 to 1993, Mr. Small worked in Washington D.C. as an analyst in the Office of Imagery Analysis of the Central Intelligence Agency.

Mr. Small received a J.D. (with distinction) from Stanford Law School in 1996, where he was the Senior Editor (Ombudsperson) of the Stanford Law Review and a member of the Stanford Journal of International Law.  Mr. Small graduated with a B.A. in Astrophysics and Political Science from Williams College in 1990.

Mr. Small is a member of the Bar in New York.
