Lillian Tsu’s practice focuses on complex securities and corporate matters, particularly advising management and boards of directors on SEC disclosure requirements, corporate governance matters, board and executive compensation, accounting restatements, shareholder activism, equity and debt offerings, public company mergers and acquisitions, spin-offs, and take-private transactions.

Lillian regularly counsels clients on capital markets transactions, including registered public offerings, private placements, and offerings under Rule 144A/Reg S, as well as tender offers, recapitalizations, debt exchange offers, consent solicitations, and private equity investments.
