The Impact of CSRD on US Companies

Background

In January 2023, the EU’s Corporate Sustainability Reporting Directive went into effect. As the CSRD is implemented, it will replace the Non-Financial Reporting Directive (NFRD). The CSRD will use reporting standards developed by EFRAG; the European Commission will publish the first set of standards in mid-2023, based on the draft published in November. 

How will this affect US companies? One of the most striking things about the CSRD is its broad reach.  The EU estimates that it will cover 50,000 firms, up from approximately 12,000 under the NFRD.

We are fortunate to have Amélie Champsaur, Partner at Cleary, Gottlieb, Steen & Hamilton join us to address the following questions, with a particular focus on US-based firms:

  • The scope and timing of CSRD, including ways US firms can fall under it;
  • An update on the status of the European Sustainability Reporting Standards (ESRS);
  • How CSRD compares with the SEC climate disclosure rules, IFRS, and the EU taxonomy;
  • The penalties for failing to comply with the CSRD
  • The steps companies can take to prepare;
  • Lessons learned from EU companies.
