Is Universal Proxy in the Cards? Insights and Highlights from a Recent Roundtable

Some 19 months after the SEC held its own roundtable on universal proxy cards, The Conference Board Governance Center brought together a group of leaders within the corporate governance community for a private roundtable discussion on this hot governance topic. After a small subgroup of the roundtable met with SEC staff, the commission issued proposed amendments calling for mandatory use of universal proxy cards. This publication presents the myriad issues surrounding universal proxy as well as a voter choice alternative.
