Proxy Voting Fact Sheet (July 2013)

Among Russell 3000 and S&P 500 companies that held meetings during the first half of 2013, both the volume of shareholder proposals submitted and the rate of withdrawals increased. For both indexes, the proportion of proposals that were withdrawn during the January—June period also increased. At the same time, for companies in both indexes, the proportion of proposals that were omitted based on no-action relief granted by the Securities and Exchange Commission staff declined.
