Putting the SEC’s New Shareholder Proposals Rules in Context  

As with last November’s SEC Staff Guidance, the recently proposed amendments to Rule 14a-8 governing the inclusion of shareholder proposals in corporate proxy statements will make it more difficult to exclude proposals on grounds of substantial implementation, duplication, and resubmission.
