Special Alert: The Latest Insights on Board Composition, HCM Oversight, and Effectiveness

October 28, 2022 | Newsletters & Alerts

Last week, the ESG Center was honored to sponsor three panels at the Society for Corporate Governance’s 2022 Eastern Regional Fall Conference. We presented the latest data – and heard from expert practitioners – on board composition and refreshment, board oversight of HCM, and board effectiveness. Here are just a few of the insights drawn from the data and discussions.

Panel 1: Board Composition and Refreshment

What the data say:

  • Based on public disclosures, 27 percent of corporate directors in the S&P 500 have human capital management experience, while 13 percent have cybersecurity and 10 percent have ESG experience. Companies should be sure that listing a director as having experience in these areas will stand up to close scrutiny. Does the director truly have experience across all of ESG, or would it be more accurate to say they have a governance or environmental background?
