Background

Multiple factors are putting pressure on the shareholder voting process. These include the dramatic rise in E&S shareholder proposals, increased opposition to director elections, declining support for say-on-pay proposals, and the prospect of greater “Big A” activism in 2023 as investors are looking at a “target rich” environment. At the same time, there are shifts in both institutional voting (as upstream clients of major asset managers are exercising more control of their votes) and in retail investing (as a new cadre of investors have entered the market). And, of course, there are regulatory changes, including the new Universal Proxy rule.

This Roundtable will address (1) the current state of shareholder voting, including the status of efforts to improve the mechanics of the voting process such as end-to-end vote confirmation, (2) the impact of industry and regulatory developments on shareholder voting, and (3) how companies and investors can respond to these pressures, including through enhancements to the engagement process, and (4) what, if any, changes in regulation or industry practice may be helpful in this environment.

As with our other Working Groups and Roundtable discussions, this session is held under the Chatham House Rule to provide a forum for a truly candid and constructive conversation.
